Resolution Passed At Annual Ordinary General Meeting of Shell Oman Marketing Company SAOG

 

The Annual Ordinary General meeting of Shell Oman Marketing Company SAOG was held on Sunday, 22 March 2015 at Mandaloon Hall, Crowne Plaza Hotel.

For your information we now provide a summary of the events and decisions taken at the meeting:

 

Annual General Meeting Matters

 

1.  The Directors Report for the year ended 31 December 2014 was approved.

 

2. The Corporate Governance Report for the year ended 31 December 2014 was approved.

 

3. The Company’s auditors read their report on the Company’s Financial Statements for the year ended 31 December 2014, following which the Financial Statements for this period were approved.

 

4. A final cash dividend of 92 baisa per share (92% of the nominal value) for the financial year ended 31 December 2014 was approved.

 

5. The shareholders approved the sitting fees payable to Directors for the year ended 31 December 2014 and the planned payment for the financial year ending 31 December 2015.

 

6. Directors remuneration payable to the Company’s non-executive Directors aggregating RO 68,800 for the financial year ended 31 December 2014 was approved.

 

7. Related party transactions that the Company entered into during the financial year ended 31 December 2014, formed part of the Agenda, sent to shareholders were taken as read and approved.

 

8. Related party transactions that the Company shall enter into during the financial year ending 31 December 2015, formed part of the Agenda, sent to shareholders were taken as read and approved

 

9. Deloitte Co. was appointed as auditors for the Company for the year ending 31 December 2015 and their remuneration was fixed.

 

 

10. By acclamationو 10 persons have been appointed by the General Meeting as Directors for a three-year term that shall end at the AGM of 2018. We give below the brief resume of these persons:

 

a)     Christopher Mark Breeze

Mr. Christopher Breeze, a British national aged 51, is the Shell Group’s Country Chairman in Oman. He has 4 years of experience in the Shell Group and 25 years of experience in the UK public sector. Mr. Breeze is also a Director of Petroleum Development Oman LLC, Oman LNG LLC and Qalhat LNG SOAC. Mr. Breeze has a BA (Honours) degree in Economics and History from Oxford University.

 

b)    Adil Ismail Abdullah Al-Raisi

Mr. Adil Al-Raisi, a 51years old Omani national, currently is Managing Director of Shell Oman Marketing Company SAOG since 2010 with a total of 22 years of experience in Downstream Oil industry, telecommunication and airline. He has over 4 years’ experience within the Shell Group as Managing Director and member of Shell East Retail Leadership team.

Prior to joining Shell, he was the Vice President Corporate Business Unit in Oman Telecommunication Company and a part of the Management Team reporting to Omantel CEO.

Before joining Oman Tel, he was in the airline industry at different leadership roles with Gulf Air at London Heathrow Airport, Muscat Airport and Bahrain. Adil has diverse leadership in the areas related to business transformation, strategic planning, retail channel management, key account management, operation management, customer credit management, product development, HSSE and performance management. He has a Bachelor’s of Art degree in General Business with a track record of various certifications related leadership training and development.

 

c)     Amr Adel Mohamed Abdullah   

Mr. Amr Adel,  45, an Egyptian National is currently the General Manager, Commercial Fuels & Lubricants Middle East, Central & South Asia in Shell. He has over 23 years of experience in the Oil and Gas industry, with an experience profile that covers Sales, Marketing, Operations, Strategy and Business Development cutting across different classes of Business in Marine, Retail, Commercial, and Global Lubricants. He has a credible and extensive experience growing business ventures and managing challenging turnarounds under multiple business structures: Joint Ventures, Public limited companies, Distributors and Direct businesses.
The vastness and complexities of the geographies he has managed covered at the Middle East, Central Asia, North and East Africa, India, Pakistan /Sub Indian continent, Far East all the way down to Taiwan and New Zealand and the diversity of the teams he lead have clearly enriched his experience, expertise and by all means enhanced his cultural awareness aiding him in leading delicate and high profile negotiations whilst ably seeing massive successes for his company in very challenging business/operating environments. 
He holds a Bachelor’s of Science, major in Economics - Faculty of Commerce, Business School – Cairo. And 2 business/Leadership Diplomas from IMD Switzerland and Harvard in USA

 

d)    Scott Michael McDonald

Mr. Scott McDonald, 38, is a British national, is currently the Finance Director of Shell Oman Marketing Company SAOG. He has over 18 years’ experience working for the Shell Group. Prior to this he worked for various finance roles in United Kingdom, The Netherlands and Kazakhstan for companies controlled by Royal Dutch Shell Plc. He holds an ACMA (Chartered Management Accountant) from United Kingdom and a Bachelor of Arts in Accounting and Finance from The Robert Gordons University Aberdeen.

  

e)    Mazhar-ud-Deen

Mr Mazhar-ud-Deen, 42, is a Pakistani national, is currently the General Manager – Retail of Shell Pakistan Ltd. He has over 19years experience working for the Shell Group.  He holds a Bachelor’s of Arts from Government College, Lahore and an MBA from University of Karachi.

 

f)     Ghalib Fawzy Salim Al-Busaidi

Mr. Ghalib Al-Busaidi, 49, is an Omani national and is the Chief Financial Officer Alizz Islamic Bank.

He has over 25 years of experience in Investment Management, Financial Consulting and Auditing.  Mr Al Busaidi is a British qualified Chartered Accountant and also has an honours degree in Accounting & Finance.

 

g)    Shabib Mohammed Saif Al-Darmaki

Mr. Shabib Al-Darmaki, 48, is an Omani national and is currently employed as the Director General, in the Civil Services Employees Pension Fund in Muscat. Mr Al Darmaki has approximately 24 years of experience in the Pension Fund. He has a Masters degree in Accounting and a Bachelors degree in Business. In addition, Mr Al Darmaki is a Director at Oman National Investment Development Company SAOC and Alizz Islamic Banking SAOG.

 

h)    Juma ‘Abudallah Khalfan Al-Khamisi

Mr. Juma Al-Khamisi, 39, is an Omani national and is currently employed as the Deputy Director of Financial Affairs in MOD Pension Fund.  Mr Al-Khamisi is a CPA holder and has a Master Degree in Accounting with over 16 years of experience in the various positions within MOD and MOD Pension Fund.  He is also a Director in Muscat Finance SAOG and Tabreed Oman SAOC.

 

i)      Huda Abdullah Saleh Al-Habsi

Ms. Huda Al-Habsi, 43 years old, Omani national, is currently the General Manager for Information Technology Division, at Oman Telecommunications Company SAOG. She has more than 19 years of experience in the telecommunications industry that consists of leadership experience, IT product development and marketing. Huda has a Masters of Science degree in Information Technology from Rochester Institute Of Technology, New York, USA.

 

j)      Saleh Nasser Juma Al Araimi

Mr. Saleh Al-Araimi, 60, is an Omani national and is currently the General Manager of the Public Authority for Social Security (PASI) in Muscat. He has several years of experience in banks, government ministries and business. In addition, he is a Director of several publicly listed companies in Oman. Mr Araimi has an MBA and a bachelor’s degree in Business Administration.
