THE AGM OF EZDAN HOLDING ENDORSES ITEMS ON ITS AGENDA AND APPROVES DEPORTATION OF PROFITS IN TO NEXT YEAR

Ezdan Holding Group held its Ordinary General Assembly meeting Monday 12/02/2018 at 4:30 p.m.  in Ezdan Tower, Dafna as follows: 

1- Approve of the report of the Board of Directors on the group’s activities and financial position for the year ended 12.31.2017  and the display of the future plans of the Group for the year 2017.
2- Approve the auditors' report on the Group’s financial statements presented for the year ended 31.12.2017.
3- Approve the financials and the profit and loss account for the financial year ended 31.12.2017 and approve the recommendation of the Board of Directors to not distribute dividends and transfer to the retained earnings.
4- Approve the report of Corporate Governance for the Group for 2017.
5- To absolve the Directors of the Group from any liability for the financial year ended 31.12.2017 
6- Approve the appointment of KPMG, to audit the accounts of the Group for the year 2018.
7- Approve the authorization of the Board of Directors of Ezdan Holding group to sell, buy or encumber real estate, sell and buy shares and chattels or Mortgage and obtain funding and facilities from local or foreign banks and sign all contracts, documents, agencies, transactions and documents and implementation of such funds, facilities and guarantees (including any mortgages or guarantees, transfer of owner of property, or Warranties, transfers of rights, etc., in order to achieve the purposes of these funds, which are in the interest of the company and achieve its objectives at the discretion of the board of Directors
8- Approve the suggestion of a shareholder owning the number of 454.999.816 shares, representing a ratio of 17.15% to grant the members of the board of directors Allowances of attending board meetings and transportation and fees for conducting the work over the past year as follows: 
i. For members, allowances and fees are lower than the previous year's fees, with a decrease of 7% 
ii. For His Excellency the Chairman of the board, the amount received is doubled compared to last year.
