Resolutions of the Annual Ordinary General Meeting (AOGM)
Sohar Power Company SAOG is pleased to inform the Muscat Securities Market and the investors’ community on the resolutions adopted in the Annual Ordinary General Meeting (AOGM) held on 27 March 2018 in Qurum Resort at Muscat Sultanate of Oman:
- The Board of Director’s report for the financial year ended 31 December 2017 was approved.
- The Corporate Governance Report for the financial year ended 31 December 2017 was approved.
- The Auditors’ Report and the financial statements (balance sheet and profit and loss account) for the financial year ended 31 December 2017 were approved.
- Transactions and contracts entered into with the related parties during the financial year ended 31 December 2017 were notified.
- The shareholders approved on the proposed transactions and contracts with related parties during the financial year ending 31 December 2018.
- Sitting fees paid to Board of Directors for the Board meetings and Audit Committee meetings held during the financial year ended on 31 December 2017 were ratified. The proposed fees payable for such meetings for the financial year ending 31 December 2018 were determined.
- Approval of the Directors’ remuneration of OMR 13,000 (OMR thirteen Thousand ) for the financial year ended on 31 December 2017
- The Shareholders were notified of the donations made by the Company on account of corporate social responsibility during the financial year ended 31 December 2017.
- The Board of Directors' recommendation to allocate up to OMR 40,000 (OMR Forty thousand) for Corporate Social Responsibility activities for the year ending 31 December 2018 was approved.
- The independent consultant’s report of the performance of the Board of Director for the financial year ending 31 December 2017 was approved.
- Keynote Service LLC were appointed as Independent Firm to appraise the performance of the Company's Board of Directors and its members for the financial year ending 31 December 2018 for fees of OMR 3,400 .
- BAKER TILLY MKM (Oman) LLC were appointed as Statutory Auditors for the financial year ending 31 December 2018 for Fees of OMR 12,250.
- A new Board of Directors of 12 members was elected
