1- Submitting a written request signed by the candidate expressing his/her details of candidacy including personal profile, qualifications and experience in the area of the Company's business, enclosed with a clear photocopy of his/her resume. 2- Indicating the number and dates of memberships in the boards of joint stock companies of which the candidate has been a member. 3- The candidate must state all the joint stock companies of which the candidate is still a member. Provided that, he/she must not be a member at more than five joint stock companies currently, including SADAFCO, and should indicate the ending date of each membership. 4- The candidate must disclose any participation in companies or business, whether in its management or ownership, directly or indirectly, and has similar business activity. 5- The application enclosed with a clear copy of the nominee’s national ID for individuals, the commercial registration for companies and establishments, and the phone numbers of the nominee. 6- Completing form (3) as issued by the Capital Market Authority and enclose it with the application. The form can be found on the CMA’s website: https://cma.org.sa/RulesRegulations/FormsSite/Pages/default.aspx 7- Any nominee who has previously membership with the company shall enclose with the nomination notice a statement from the company administration on the last term in which he was a board member including the following information: the number of the board meetings held in each year of the term and the attended meeting on behalf of other members and the percentage of his attendance to the total meetings. The standing committees in which the member participated, the number of the meetings held by each committee within one year of the term period, the number of the meetings he attended on behalf of another member and the percentage of his attendance to the total meetings. 8- Note that voting in General Assembly will be only for those who nominate themselves for Board of Directors in accordance to the above mentioned regulation. |
