Introduction Dr. Sulaiman Al Habib Medical Services Group ("HMG") announces the opening of the nomination period for membership in HMG’s Board of Directors for the next term which will begin on December 10, 2024, and will last for four calendar years until December 9, 2028. Shareholders who meet the membership criteria and standards and wish to nominate themselves for the Board of Directors’ membership are invited to submit their nomination applications within the specified period and in accordance with the details provided in this announcement.

Please note that the election of the Board members for the next term will take place at the shareholders’ General Assembly Meeting, the date of which will be announced later after obtaining the necessary approvals from the relevant authorities.

Policy and criteria of nomination Each shareholder has the right to nominate themselves or one or more other individuals for membership on the Board of Directors. The candidate must meet all the nomination conditions for the Board of Directors’ membership as stipulated in the Policies, Standards and procedures for Board Membership (attached), approved by HMG’s General Assembly and must complete the following requirements within the time frame specified in this announcement and in accordance with HMG’s Policies, Standards and procedures for Board Membership, as well as applicable laws and regulations:

1- Candidates who wish to nominate themselves for the Board of Directors’ membership must disclose their intention to nominate, by submitting a notice to HMG’s management. This notice must include the profile of the candidate in both Arabic and English, detailing their resume, qualifications, and professional experience. (attached)

2- The candidate must disclose any conflicts of interest, including having a direct or indirect interest in the business and contracts executed for HMG’s account, or participating in any activity that competes with HMG or competes in one of the fields of activity that HMG engages in. (Attached)

3- The candidate must submit a signed copy of Form No. (1) – the resume, issued by the Capital Market Authority after filling it out electronically in both Arabic and English. (Attached)

4- The candidate must submit a signed copy of the (Resume Form) issued by the Capital Market Authority completed electronically in both Arabic and English (Attached). 5- Candidates who have previously served on the Board of Directors of any joint-stock company must attach a statement detailing the number and dates of the Board memberships they have held. (attached)

6- Candidates who have previously served on HMG’s Board of Directors must attach a statement (attached) from HMG’s management regarding the last term they served, including the number of Board meetings held each year of the term, the number of meetings attended by the member in person and their attendance percentage relative to the total number of meetings, and the permanent committees the member participated in, the number of meetings held by each committee each year of that term, the number of meetings attended by the member, and their attendance percentage relative to the total number of meetings.

7- The candidate must submit a copy of his/ her national ID card, family card –if any-, passport’s copy for non-Saudi candidates, and any other relevant documents required by HMG to fulfil regulatory requirements.
