Qatar Fuel (WOQOD) has disclosed the results of the Ordinary Assembly meeting held at WOQOD Tower- Westby utilizing online facilities on 22/04/2020, and discussed the items listed on its agenda and issued the following resolutions:

 

 

1.         Approval of the Board of Directors report on company activities, financial standing for the year 2019, and its future plans.

2.         Approval of the External Auditors Report on WOQOD Group financial statements for the Fiscal period ended 31/12/2019.

3.         Approval of WOQOD Group financial statements and profit and loss account for the year 2019 ended 31/12/2019.

4.         Approval of the distribution of QR. 795 million from net profits realised for the year 2019 representing (0.8) Riyal per share to shareholders by way of dividends.  

5.         Approval of the release of the Board of Directors from liability vis-à-vis management actions, and their discharge from any liability or responsibility in relation to the fiscal year ended 31/12/2019 and approval of their remuneration.

6.         -  Approval of the election of the following ‎members to WOQOD Board of Directors:‎

‎Sheikh Saoud Khalid Hamd A Al-Thani            Member

‎Mr. Nasser Sultan N Al-Hemaidi                       Member

‎Mr. A-Rahman Saad Z Al-Shathri                      Member

Mr. Mohd A Aziz S R Al-Saad                           Member

‎-  Approval of Mr. /Issa Khalid ‎Issa Al-Muslimani as a reserve member in case of any vacancy in any of the ‎aforementioned elected seats.‎

-           The General Assembly has taken cognizance of the appointment by Qatar Petroleum of the following directors in WOQOD Board each to hold the assignment mentioned next to his name:‎

‎ Mr. Ahmad Saif A Al-Sulaiti                            Chairman

‎ Mr. AbdulAziz  Al-Muftah                               Vice-Chairman

‎ Mr. Saad Rashid Al-Muhannadi                        Managing Director ‎

‎- The General Assembly has taken cognizance of the appointment by the General ‎Retirement and Social Insurance Authority of the following directors in WOQOD Board:‎

‎Mr. Faisal A-Wahid A Al-Hamadi                    Member‎

‎Mr. Ali Hassan S A Al-Khalaf                           Member

7.         Approval of the WOQOD Governance Report for the year 2019.

8.         Approval of the renewal of the assignment of the current external audit firm KPMG as external auditor for WOQOD Group accounts for the year 2020 .
