Samba Financial Group Announces the Start of the Electronic Voting on the Agenda Items of the Extraordinary General Assembly Meeting (First Meeting)

| Announcement Detail | Further to the announcement made by Samba Financial Group (“Samba”) on the Saudi Stock Exchange (Tadawul) website on 26/06/1442H (corresponding to 08/02/2021G) in respect of the invitation to its shareholders to attend the Extraordinary General Assembly Meeting (First Meeting) scheduled for 7:30 PM on Monday, 17/07/1442H (corresponding to 01/03/2021G) remotely through contemporary technology using Tadawulaty, Samba is pleased to announce to its shareholders the start of the electronic voting (remote voting) on the agenda items of the Extraordinary General Assembly Meeting starting from 10:00 AM on Thursday, 13/07/1442H (corresponding to 25/02/2021G) and shall continue until 8:00 PM of the day on which the Extraordinary General Assembly Meeting will be held.
The shareholders who are registered on the website of (Tadawulaty) can remotely vote on the items of the meeting through Tadawulaty website (www.tadawulaty.com.sa). Please note that registration and voting on Tadawulaty service is provided free of charge for all shareholders. For more details on the electronic voting process, please refer to the shareholders’ manual for electronic voting, which is available on the website of the Securities Depository Center Company (Edaa).
It should be noted that, under Article 191(4) of the Companies Law, a shareholder that holds shares in both Samba and the National Commercial Bank is only entitled to vote on resolutions relating to the merger in the EGM of one of the banks. If a shareholder votes on the resolutions related to the merger in the EGM of both Samba and the National Commercial Bank, then such shareholder’s vote will only be counted in one of the EGMs.
