Announcement Detail Reference to the Ordinary General Assembly meeting (the first meeting) of the company held on Wednesday corresponding to 02 Aug 2023, which includes the election of the Board of Directors for its new session, which starts from the date of 06 Aug 2023 and ends on 05 Aug 2027 for a period of Four Gregorian years, The company is pleased to announce the decision of the Board of Directors to appoint the Chairman of the Board of Directors and Vice-Chairman of the Board of Directors And managing director, the formation of committees, the appointment of company representatives to the Capital Market Authority and the Saudi Stock Exchange (Tadawul), and the appointment of the Secretary of the Board as follows:

1- Appointing Eng.: Abdullah bin Odeh Al-Ghabeen as Chairman of the Board of Directors.

2- Appointing Eng. Ahmed bin Mohammed Al-Falih as Vice-Chairman of the Council.

3- Appointing Mr. Abdul Karim bin Muhammad Al-Nuhair as Managing Director and Chief Executive Officer.

4- Formation of the committees emanating from the board of directors as follows::

• Engineer: Abdullah bin Abdulaziz Al-Zunaidi - Member of the board.

• Professor: Abdulaziz bin Abdullah Kaaki - member of the board

• Professor: Aziz bin Muhammad Al-Qahtani - member from outside the Board of Directors.

• Professor: Suleiman bin Abdulaziz Al Zaben - member from outside the Board of Directors.

5- Formation of the Remuneration and Nominations Committee.

6- Formation of the Executive Committee.

7- Appointing company representatives before the Capital Market Authority.

8- Appointing the company's representatives before the financial market company, Tadawul.

9- Appointing the Secretary of the board.

This resolutions is effective as of the beginning of the new session of the Board of Directors on 06/08/2023 for a period of four Gregorian years and ends on 05/08/2027.
