The nomination will be in accordance with the provisions of the Companies Law and the Corporate Governance Regulations issued by the Capital Market Authority, in addition to the Regulations, Policies, Standards and Procedures for Membership in the Board of Directors and the emanating committees approved by the General Assembly of the Company's shareholders, provided that all the following documents are attached to the candidacy application: 1- Submit a CV indicating personal data, qualifications and experience. 2- A statement of the number and dates of the boards of directors of the companies or institutions in which he is a member. 3- A statement of the joint stock companies in which he is still a member. 4- A statement of the companies or institutions that he participates in managing or owning and carrying out business similar to the company's business. 5- To be of good conduct and behavior and who enjoys a good reputation on the personal and professional levels. 6- To have experience in the field of the company's business or similar work. 7- To have the ability to allocate sufficient time to contribute to directing the company's business and policies. 8- Have good knowledge in the field of planning and management. 9- To have an appropriate scientific qualification. 10- Be at least 25 years old. 11- To enjoy independence and no conflict of interest, as (3) independent members will be appointed based on the provisions of item (3) of Article (16) of the Corporate Governance Regulations. In the event of obstacles to independence, it must be disclosed. 12- Fill out and sign Form No. (3) CV of the candidate for membership of the Board of Directors 13- Attach a clear and valid copy of the national ID or residence permit for individuals, as well as the family record (for the married) and the candidate's contact numbers, including phone, mobile phone and e-mail. 14- The candidate must have the ability to lead, direct and speed in decision-making The Nomination and Remuneration Committee will study the candidates' applications received in accordance with the provisions of paragraph (2) of Article Sixty-Five of the Corporate Governance Regulations issued by the Capital Market Authority. Incomplete applications will not be considered. Voting in the General Assembly will be limited to those who have nominated themselves for membership of the Council. |
