On February 17, 2026, Adena Friedman, Nasdaq’s Chair and Chief Executive Officer, filed a Form 4 with the United States Securities and Exchange Commission (the “SEC”) to report (i) the grant of performance share units (“PSUs”) previously issued under Nasdaq’s Equity Incentive Plan (the “Equity Plan”), and (ii) the surrender of shares to satisfy tax obligations in connection with vesting of such PSU grants under the Equity Plan.
