The board of directors discussed the topics listed on the agenda in its meeting no. 2/2026 held on 24/02/2026 and passed the following resolutions.

Subject: Resolution of Board Meeting

 

The Board of Directors of Asyad Shipping Company S.A.O.G (the “Company”) held its meeting on 24 February 2026, during which the Board:

 

1. Approved of the audited financial statements for the financial year ended December 31, 2025

The Board of Directors has approved the audited financial statements for the financial year ended 31 December 2025. The financial statements audited will be published on MSX page and on the Company's website.

2. Approved the Agenda and Date of the Annual General Meeting (“AGM”) 

The board agreed to set the 26th of March 2026 as the date of the AGM. The invitation and agenda of the AGM will be published after obtaining approval from the relevant authorities.

3. Approved the proposal of the distribution of cash dividends

Proposal to distribute cash dividends to the Company’s shareholders amounting to  0.00554 per share for the financial year ended 31 December 2025. The entitlement to the proposed dividends shall be for shareholders registered in the Company’s shareholder register on the 26th of March 2026, subject to the approval of the upcoming Annual General Meeting.
