Circular Resolution of the Board of Directors of Musandam Power Company SAOG (the “Company”)

We, Directors of Musandam Power Company SAOG a company incorporated and existing in accordance with the laws of the Sultanate of Oman, with commercial registration no. 1206853, take the following actions by this written consent in lieu of a meeting of the Board of Directors:

NOTED:

At the Annual General Meeting of the Shareholders of the Company, held on 8th March 2026, the Shareholders resolved to authorize the Board of Directors of the Company to determine and distribute final and interim cash dividends to the Company’s Shareholders who are registered with the MCD as of the dates to be decided by the Board of Directors in March 2026 and September 2026 out of the retained earnings as per the audited financial statement for the financial year ended on 31st December 2025, provided that the amount shall not be more than 27.6  Baisas per share.

IT WAS RESOLVED:

Having reviewed the amount of retained earnings recorded in the audited financial statement for the year ended on 31^st December 2025, and considering the current financial position of the Company, the Board of Directors have determined to distribute a cash dividend of 13.8 Baisas per share, to the  Shareholders of the Company registered with the MCD as on 15^th March 2026 and the Board hereby instructs the management of the Company to do all that is required to distribute the approved dividend to the eligible shareholders within 7 days of the date of this circular resolution.
