Oman Arab Bank SAOG, the principal shareholder of alizz Islamic Bank SAOC, would like to announce the following major resolutions passed during alizz Islamic Bank SAOC Annual General Meeting held on 24 March 2026 through the Muscat Clearing and Depository website (www.mcd.gov.om): |

| 1. Approval of the Board of Directors report for the financial year ended 31 December 2025. |
|
|
| 2. Approval of the Board of Directors report on Corporate Governance for the financial year ended 31December 2025. |
|
|
| 3. Approval of the auditor’s report, the Balance Sheet and Profit and Loss account of the Bank for the financial year ended 31 December 2025. |
|
|
| 4. Approval of the distribution of dividends to shareholders for the financial year ended 31 December 2025 at a rate of 1.085 Baisa per share. |
|
|
| 5. Approval of payment of OMR 100,000 as remuneration to the Board Members for the financial year ended 31 December 2025. |
|
|
| 6. To inform the shareholders of the Sharia Supervisory Board report for the year ended 31 December 2025. |
|
|
| 7. Approval of sitting fees being availed by the Board Members and members of the Board’s Sub-committees for the previous year and to fix the sitting fees for the current financial year. |
|
|
| 8. To notify the shareholders regarding the related parties’ transactions entered into by the Bank during the financial year ended 31 December 2025. |
|
|
| 9. To notify the shareholders on the donations paid in relation to social responsibility activities during the financial year ended 31 December 2025. |
|
|
| 10. Approval of the allocation of RO 120,000 in respect of social responsibility activities during the financial year ending 31 December 2026. |
|
|
| 11. Approval to appoint Deloitte as the external auditors and Shari’a auditors for the financial year ending 31 December 2026 and approve their remuneration. |
