The  Ordinary General Meeting has been held at 05:00 PM on 29/03/2026 at HQ . The agenda disclosed

on 29/03/2026 have been discussed. The following resolutions have been taken,

 

Announcement of the Annual General Meeting Resolutions

 

We would like to announce that the AGM of Oman Telecommunications Company (Omantel) held on Sunday, 29^th March 2026 and following are the decisions:

 

1. Approved the Directors Report for the financial year 2025.

2. Approved the company’s Corporate Governance Report for the financial year 2025

3.  Approved the report of measuring of the board of directors’ performance for the year 2025.

4.  Approved the Auditors Report and the Balance Sheet and Profit & Loss account for the financial year 2025.

5. Approved the Board proposal to distribute cash dividends of (55 Bzs.) per share to the registered shareholders on the AGM meeting.

6. Approved the sitting fees paid to board of directors and its subcommittees during the financial year 2025, and determined the sitting fees for the financial year 2026.

7. Approved the Board remuneration of OMR 225,000 for the Board of Directors for the financial year 2025.

8. Approved the related party transactions entered into the ordinary course of business during the financial year 2025.

9.   Notified the AGM about the donation paid during the financial year 2025.

10.  Approved of OMR 750,000 for the purpose of Corporate Social Responsibility for the year 2026.

 

 

 

11. Approved to Appoint KPMG as company's external auditors for the financial year 2026.

 

12. Elected the following members for the new term of the Board:

4. Rasha bint Abdulhussein
5. Khalid bin Talib Al Hasani
