Riyadh – Mubasher: Academy of Learning Company has announced the results of its Ordinary General Assembly meeting held on 2 June 2026, where the shareholders approved the election of a new Board of Directors and sanctioned several key regulatory measures.

A central outcome of the meeting was the formal election of the Board of Directors for the upcoming four-year cycle. This new term is scheduled to commence on 16 June 2026 and will conclude on 15 June 2030, according to a bourse disclosure.

The elected members who will lead the company through this four-year period are the following:

- Khalid Mohammed Alammar Al Dossary

- Sadoon Khalid Al Khalidi

- Mohammed Abdullah Al Ajlan

- Nasser Abdulrahman Al Zamil

- Abdulilah Mohammed Al Tunisi

The shareholders also deliberated on and approved an amendment to the regulations governing the Remuneration and Nominations Committee. This update is intended to refine the internal governance structures that oversee the selection and compensation of the company’s leadership, ensuring the framework remains aligned with the company's strategic objectives.

Furthermore, the assembly approved a resolution to delegate specific authorities to the Board of Directors under the Saudi Companies Law. Specifically, the board has been granted the powers of the Ordinary General Assembly to issue licenses as described in Paragraph 1 of Article 27 of the Companies Law. This authorization, which pertains to potential conflicts of interest or competing business activities, is granted for a period of one year from the date of the assembly’s approval or until the conclusion of the board’s term, whichever occurs first. This delegation of power is conducted in strict accordance with the executive regulations of the Companies Law for listed joint-stock companies.

In April 2026, Academy of Learning secured credit facilities worth a total of SAR 113.75 million from a leading Saudi listed bank.
