National Signage shareholders pass investment contracts, auditor appointment

Riyadh – Mubasher: National Signage Industrial Company announced the results of its Extraordinary General Assembly meeting (EGM) held on 30 June 2026, where shareholders representing 90.99% of the capital approved several significant operational and regulatory items.

Shareholders ratified multiple business contracts with related parties, the largest of which involved sales to Arabian Contracting Services Company (Al Arabia) at a total value of SAR 29.78 million and purchases worth SAR 805,000.

Other approved transactions included asset transfers from Al Muhandis Holding Group valued at SAR 789,121.

This is besides sales to Al Waseel Saudi as well as Faden Advertising Agency at a total amount of SAR 5.22 milion and SAR 5.15 million, respectively.

The assembly also approved the appointment of Baker Tilly for Professional Consulting as the external auditor to review financial statements for the first half (H1) and full year of 2026, with fees set at SAR 367,000.

Furthermore, shareholders cleared the board of directors from liability for the 2025 fiscal year, and approved board remuneration totaling SAR 30,000.

The meeting concluded with the approval of extensive amendments to the company’s Bylaws, including articles governing capital increases, debt instruments, and the formation of the audit committee.

Shareholders also confirmed the appointment of Mohammed bin Abdulaziz bin Saqr to the board, effective 7 May 2026.
