Riyadh – Mubasher: Edarat Communication and Information Technology Company’s shareholders approved multiple related party transactions during an ordinary general meeting held on 12 July 2026.

The meeting, which achieved a 59% attendance rate, focused on ratifying contracts executed during the fiscal year ended 31 December 2025.

The assembly approved two major contracts with Al Moammar Information Systems (MIS), in which Chairman Abdullah bin Ghazi Al Ghamdi holds an indirect interest. These included services provided by the company totaling SAR 77.55 million and purchased services amounting to SAR 6.09 million.

Additionally, shareholders ratified a SAR 1.46 million contract for services provided to Medical Excellence Systems Company, another entity linked to the Chairman.

Further approvals were granted for a SAR 702,000 service purchase contract with Edarat Lebanon. This transaction involved interests from the Chairman, Vice Chairman Adel Fouad Rizk, and CEO Eric Ernst Badawi.

The assembly also voted to delegate the authority of the ordinary general assembly to the board of directors for a period of one year or until the end of the current board term, whichever comes first, in accordance with the Companies Law.

In June, Edarat Group rejected several proposed related-party contracts involving MIS and other entities, granting the company a six-month window to rectify these regulatory standing issues.
