Riyadh – Mubasher: Waja Company has invited its shareholders to attend the Extraordinary General Meeting (EGM), scheduled for 6 August 2026, at 19:00.

The meeting, which will be conducted via modern technology, aims to address several key structural and regulatory amendments to the company’s bylaws.

A primary agenda item is the proposal to amend Article 15 to increase the number of board members from four to seven.

Shareholders will also vote on the appointment of Majed Abdullah Al Issa as an independent director, effective from 2 July 2026, to complete the current term ending 23 March 2028.

The assembly will further consider amendments to Article 6 regarding corporate ownership and Article 10 concerning share issuance.

Additional proposals include adding new articles related to debt instruments, financing sukuk, and the formation of specialized committees.

The board also seeks to formalize policies regarding duties of care and loyalty, competition disclosure, and the evaluation of corporate decisions.

Eligibility for the meeting is restricted to shareholders registered at the end of the trading session preceding the assembly date.

The electronic voting is scheduled to commence on 2 August 2026. According to the company's bylaws, a quorum for the first meeting requires the presence of shareholders representing at least 50% of the voting shares.

Waja’s board accepted the resignation of audit committee member Abdullah Mohammed Al Sharif to be effective 2 July.
