Subject: Resolutions of the Meeting of the Board of Directors of Bank Dhofar S.A.O.G

1.     The Board of Directors of Bank Dhofar (S.A.O.G) in their meeting held on Sunday, 26 July 2026 reviewed and approved the financial statements of the bank for the period ended 30 June 2026.

2.     Further to the Shareholders of Bank Dhofar SAOG resolution at an extraordinary general meeting held on 30^th March 2026 authorizing the Bank’s capital augmentation plan of an aggregate principal amount of up to 500,000,000 (Omani Rial Five Hundred Million) or its equivalent in USD or other major currencies, the Board of Directors of Bank Dhofar (S.A.O.G) has approved the issuance of 154 Million (Omani Riyal One Hundred and Fifty Four Million) or its equivalent in USD or other major currencies, Additional Tier 1 (AT1) capital instruments as part of the Bank’s capital management strategy.

3.     The Board also approved increase in Capital for Dhofar Islamic by 50 Million.

The increase in capital for Bank Dhofar and Dhofar Islamic will be subject to Regulatory approvals.

The Bank will keep the market updated with any material developments in a timely manner.
