Riyadh – Mubasher: Saudi Azm for Communication and Information Technology Company’s board of directors issued a recommendation on 30 July 2026 to amend Article 15/A of the company’s Bylaws concerning the composition of the board.

The proposal seeks to increase the number of board members from five to six in the current stage.

The board based its recommendation on the objective of diversifying expertise, qualifications, and capabilities within the leadership team.

Under the proposed amendment, the board must consist of at least three members, with the specific number for each term to be determined by the Ordinary General Meeting (OGM).

Elected members must be natural persons serving terms not exceeding four years.

The company stated that the expansion aims to align board skills with the scale and nature of its business activities while supporting strategic priorities.

This amendment carries no financial impact and remains subject to approval by the EGM and relevant regulatory authorities.

Saudi Azm will complete the necessary legal procedures and announce the date for the assembly meeting at a later time.

On 11 June, the company elected a new Board of Directors for a four-year term and ratified amendments to the internal bylaws and competition standards.
