Riyadh — Mubasher: The Saudi Investment Bank (SAIB) inked an agreement to sell its full 50% equity stake in American Express Saudi Arabia to Amex (Middle East) B.S.C.
The transaction is valued at SAR 1.43 billion, equivalent to $381.36 million, to be paid in cash upon completion.
Under the terms of the agreement, the bank is also entitled to a deferred purchase price. This additional consideration reflects the bank's share of distributable profits generated by the entity during the transaction period until the final transfer of shares.
The divestment follows the termination of a shareholders' agreement originally entered into on 25 September 2018.
SAIB expects to realize a gain of SAR 792.41 million from the sale, based on the investment's book value of SAR 637.70 million as of 30 November 2025.
American Express Saudi Arabia, a Riyadh-headquartered finance company, reported a net profit of SAR 151.97 million on revenues of SAR 644.29 million for the fiscal year that ended on 31 December 2025.
Completion of the deal remains subject to customary regulatory approvals. The bank stated it will utilize the proceeds to strengthen its financial position and support its strategic objectives.
Meanwhile, the lender plans to raise its capital from SAR 12.50 billion to SAR 15 billion.
