We kindly request that you review the list of nominees for membership in the Board of Directors of SMN Power Holding SAOG (“the Company”) and the brief overview of the nominees:

1-   David Jean M Beaufays

Mr. Beaufays began his career as a trader at ING Bank before joining ENGIE, where he has dedicated over 17 years. He started as a Trader in Structured Products within the Global Energy Management department in France. Throughout his tenure at ENGIE, he has excelled in various operational, technical, and leadership roles across Europe and internationally. Notably, he served as Head of Investments and Acquisitions for Indonesia and China for over 8 years, before being promoted to Head of Business Development for KSA & GCC.

Education

Mr. David Beaufays holds an MSc in Engineering and Business Management from Louvain School of Management, Belgium, an Executive master’s in finance from Solvay Business School, Belgium, and a Financial Engineering degree from City University, Hong Kong.

2-   Mahinder Nath

Mr. Mahinder Nath joined Mubadala Investment Company on 22^nd January 2020 and worked with Mubadala as Senior Advisor – Utilities. He brings varied and in-depth experience in the fields of green and brown-field project development, operating asset acquisition and divestment, financing, asset management and EPC contracting.            A good part of his long experience has been in the Middle East based out of the UAE, developing to financial close and asset managing the projects, in the GCC and wider Middle East region.

Prior to joining Mubadala, Mahinder has worked, as executive Vice President with Marubeni Middle East and Africa Power Limited for two and a half years. He has previously worked for twelve years with Engie in the Middle East, India and the UK in business development, asset management, setting up business in India and supporting investment approvals for multiple business units of Engie. As an asset manager, Mahinder had the privilege of serving the Boards of various project Companies in the region, including SMN Power Holding in the past. During his earlier tenure as a Board member, Mahinder has served as the Chairman of the Board of SMN Power Holding Company and hence, he is in a unique position to provide his valuable inputs for the high performance and growth of SMN Power Holding Company.

Mechanical Engineer with specialization in power technology, Delhi University, India, 1979.

3-   Ruben Daniel Ramalho

Mr. Ruben Ramalho has over fifteen years of investment experience in Infrastructure and is currently a Senior Principal in Mubadala Infrastructure Investment team responsible for sourcing, executing, and managing investments in the EMEA region. Prior to joining Mubadala, Ruben worked as an M&A Investment Professional in Brookfield Asset Management predominantly focused on Renewables, Power, and Utilities across Europe.

Prior to that, Ruben was a Commercial and Corporate Advisor to Department of Energy of the UK Government and a Business Development and Strategy Manager for Engie in Portugal/Spain.

Education

Mr. Ruben Ramalho holds a Master in Environmental Engineering from the University of Lisbon and a Post-Graduation in Sustainable Energy Systems from MIT and University of Lisbon.

4-   Mohammed Imran Sheikh

Mr. Imran Sheikh has worked for twenty-four years, as a senior Financial Officer in the power and water industry in the GCC and Pakistan. He started his career in the IWPP/IPP in 1996 with International Power group at Hub O&M, Pakistan. He moved to Shuweihat CMS International Power Company in Abu Dhabi in December 2002, where he served for three years. He then joined Qatar Power Company, Qatar, in January 2006 firstly as a Business Manager and later on as Chief Financial Officer.

Education

Mr. Imran Sheikh holds an MBA from Manchester Business School, UK. He is a qualified accountant with fellow memberships of UK chartered accountancy bodies of CIMA and ACCA and holds the designation of Chartered Financial Analyst from the CFA Institute, USA.

5-    Abdullah Salim Rashid Al Khayari

Holds an MBA in Finance from Leeds University, UK, and a Bachelor's degree in Economics from the University of Arkansas at Little Rock, USA

Thirty years of rich experience in the Banking and Financial Services Industry. This includes sixteen years in the Banking Examination Department as a Senior Bank Examiner/Chief Examiner in the Central Bank of Oman, four years in Treasury and investments, and nine years in Licensing of financial institutions,encompassing Banks, Finance & Leasing Companies, and Money Exchange Companies. Chairman of the Board of the United Finance Company SAOG and member of the Audit committee in same company. Board member of Al Anwar Investments SAOG and a member of the audit committee. Moreover, he is currently a Banking Expert certified by the Ministry of Justice and Legal Affairs.
